Overview

Starco Brands is looking for a dynamic, business-forward legal leader to step into the role of Vice President, Legal / Head of Legal. This is a highly visible position partnering directly with the CEO and executive leadership team to drive strategic initiatives, with a strong focus on M&A execution, public company compliance, and corporate strategy.

This is not a traditional in-house legal role. We’re seeking an operator—someone who thrives in fast-moving environments, pushes deals forward, and acts as a true business partner while balancing risk with growth.

Core Responsibilities

Lead M&A and Strategic Transactions (Primary Focus)

• Own the full lifecycle of acquisitions: from LOI through diligence, negotiation, and closing
• Structure complex deals including carve-outs, recapitalizations, and earnouts
• Drive transaction momentum while managing external counsel efficiently
• Partner closely with executive leadership on deal strategy and execution

Oversee Public Company & SEC Matters

• Lead preparation and oversight of 10-K, 10-Q, and 8-K filings
• Manage disclosure controls and ensure regulatory compliance
• Collaborate cross-functionally with finance, auditors, and external advisors
• Support capital markets activities and investor communications
• Play a key role in uplisting readiness (e.g., NYSE American or similar exchanges)

Act as a Strategic Legal Partner

• Serve as a trusted day-to-day advisor to the CEO and leadership team
• Draft, review, and negotiate key commercial agreements
• Support board governance, materials, and corporate structuring
• Build and scale a modern, efficient legal function to support company growth

Experience

• 6–12 years of experience
• Background in top-tier law firm and/or public company
• Demonstrated experience closing transactions

Capabilities

• Strong M&A execution skills
• Understanding of SEC/public company requirements
• Ability to operate in fast-paced environment
• Business-oriented mindset (not overly risk-averse)

Preferred

• Experience in consumer or CPG businesses
• Experience with acquisition-driven platforms
• Experience with public market transitions or uplisting
