We impart industry-specific best practices relating to risk management, commercial contracts, regulatory compliance, business growth, strategic planning, corporate governance, code of ethics... ok, it's a lot, but you get the point. WHO WE’RE SNIFFING FOR
As a member of BARK’s Legal Team, the Director and Assistant General Counsel – SEC and Compliance, will serve as a strategic legal advisor to the General Counsel. As a direct report to the General Counsel, the selected candidate will play a pivotal role in adherence to best practice for SEC reporting, regulatory compliance, board governance and risk management within a dynamic corporate environment. In addition, the successful candidate will advise and consult on strategic issues and advancing the company’s business objectives.
KEY DUTIES
- Manage all legal aspects of the company’s business related to SEC reporting and other disclosure-related regulation including Regulation FD and preparing and filing the company’s Proxy Statement,10-K, 10-Q, and Form 8-K. Ensure timely and accurate disclosure of material information in compliance with applicable regulations. Partner cross-functionally to create and implement new processes and controls that improve current practices.
- Stay abreast of evolving securities laws and regulations to ensure organizational compliance. Advise stakeholders on regulatory requirements pertaining to securities offerings, disclosure obligations, insider trading, and corporate governance matters.
- Help develop and prepare for Board and Committee Meetings, set Board Calendar, draft resolutions and minutes, oversee and administer equity plans.
- Draft, update and/or implement compliance policies and procedures as needed tailored to the organization's business activities and regulatory environment.
- Collaborate with internal stakeholders to develop effective compliance and risk management strategies and training programs and participate in internal investigations as needed.
- Provide legal support and due diligence for public offerings, mergers, acquisitions, and other partnerships and transactions and manage legal aspects (including engagement of external counsel) of related negotiations and financings, in conjunction with the General Counsel and the company’s Finance and Treasury functions.
- Provide proactive advice to mitigate risks and enhance compliance controls.
EXPERIENCE
- 7+ years of legal experience, including time spent in a top-tier law firm and/or in-house at a publicly traded company in roles of increasing scope and leadership responsibility.
- Experience working directly with and supporting executive leadership and public company boards.
- Background working across a range of legal disciplines, with strong knowledge of corporate, regulatory, and public company governance.
SKILLS & QUALIFICATIONS
- MUST LOVE DOGS (this is non-negotiable)
- A JD from an ABA-accredited law school and having an active membership in good standing in NY and/or other state bar.
- Ability to manage multiple projects simultaneously and work effectively under pressure.
- Ability to take on new responsibilities as needed by the company including litigation, international growth, cybersecurity and data privacy, and contract drafting and negotiation.
- A strong natural leader with high integrity.
- Excellent communication with experience interacting with Board members, senior management, finance, compliance and risk management team members and other internal stakeholders.
- A business-oriented approach to legal practice and work generally and a commercial orientation with sound judgement. An individual who approaches legal questions by creatively thinking through how best to accomplish business goals, and who is an active business partner who proactively identifies ways to support the business from a legal and a non-legal perspective.

PAY TRANSPARENCY
FOR CO/NJ/NY BASED APPLICANTS:
- The base salary range for this position in NY is $210,000-$280,000
- This position is eligible for equity
**This compensation range is based on BARKs good faith estimate as of the date of this posting and may be modified in the future. Actual pay for this position will depend on a variety of variables including location, travel, internal equity, experience, education, skills and expertise.
